Terms of Service

1. Acceptance of Terms

By accessing or using ValiFit ("the Service"), operated by ValiFit LLC ("ValiFit," "we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated terms. The "Last updated" date at the top of this page indicates when these terms were last revised.

2. Description of Service

ValiFit is a real estate intelligence platform that provides:

• Property intelligence reports aggregating publicly available government data from sources including the U.S. Census Bureau (ACS), FBI UCR, FEMA, EPA, NCES, HUD, HRSA, CMS, Redfin, and county assessor records.
• Personalized Fit Scores (0-100) based on five composites: Budget, Commute, Safety ROI, Health ROI, and Education ROI.
• Town matching and comparison tools based on your stated preferences.
• A two-sided lead matching system connecting home buyers with real estate agents.
• Tools for real estate professionals to manage leads and listings.

3. User Accounts

Certain features of the Service require an account. You may register with an email address and verify via a one-time code.

You agree that:

• You will provide accurate, current, and complete information during registration.
• You will maintain the security of your account credentials and not share them with others.
• You are responsible for all activity that occurs under your account.
• You will notify us immediately at [email protected] if you suspect unauthorized access to your account.
• You must be at least 18 years old to create an account.

4. Service Tiers and Payments

4.1 Available Tiers

• Free: 3 property reports, town browsing, ROI scores, and town pages. Requires email signup (no credit card).
• Single Report ($1.99): One-time purchase for a single property report beyond the free limit.
• Lite ($4.99/month): 10 property reports per month, expanded data, and buyer dashboard.
• Pro ($49/month): Unlimited property reports, FSBO/investor/landlord listing, and lead pool access.
• Agent Pro ($99/month): Full CRM, matched leads, auto-letterhead emails, and credit-based buyer access.

Pricing may change. Current pricing is always listed on our Pricing page. We will notify existing subscribers at least 30 days before any price increase takes effect on their account.

4.2 Billing and Cancellation

• Paid subscriptions are billed monthly and auto-renew unless canceled before the renewal date.
• Payments are processed securely by Stripe. We do not store full credit card numbers.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.
• Refund requests for initial purchases may be submitted within 7 days by contacting [email protected].

5. Agent Terms of Use

Real estate agents who use ValiFit agree to the following additional terms:

• You must maintain a valid and current real estate license in the state(s) where you claim to operate.
• You must respond to buyer connections within the SLA windows specified on the platform (12 hours to reveal, 4 hours to first message after connection).
• You must comply with all applicable federal, state, and local real estate laws, including Fair Housing Act regulations.
• You must not misrepresent your qualifications, experience, brokerage affiliation, or service areas.
• You must not use template-based spam or automated mass outreach when contacting buyers through the platform.
• You must obtain a signed buyer agency agreement before showing properties to any buyer connected through ValiFit, consistent with NAR settlement requirements.
• Buyer data obtained through the platform must be used solely for the purpose of the real estate transaction and must not be sold, shared, or used for unrelated marketing.

We reserve the right to suspend or terminate agent accounts for violation of these terms, failure to maintain licensing, or consistently poor quality scores.

6. Acceptable Use

You agree not to:

• Scrape, copy, crawl, or systematically download our reports, scores, or data for redistribution or commercial use.
• Use the Service for any discriminatory purpose in violation of the Fair Housing Act or any other applicable law.
• Reverse-engineer, decompile, or attempt to extract the source code of our scoring algorithms or matching engine.
• Interfere with or disrupt the Service's operation, infrastructure, or security, including by introducing malware, conducting DDoS attacks, or exploiting vulnerabilities.
• Impersonate another person, entity, or agent, or misrepresent your affiliation with any person or entity.
• Create multiple accounts to circumvent subscription limits, distribution caps, or blocks.
• Use buyer contact information obtained through the platform for any purpose unrelated to the real estate transaction.

Violation of these terms may result in immediate account suspension or termination without refund.

7. Data Accuracy and Disclaimer

ValiFit aggregates data from public government sources including the U.S. Census Bureau, FBI UCR, NCES, FEMA, EPA, HUD, HRSA, CMS, Redfin, and county assessor records. While we strive for accuracy, we do not guarantee that all data is current, complete, or error-free. Property values, tax rates, school boundaries, flood zones, environmental conditions, and other data may change without notice from the underlying sources.

8. Fair Housing Compliance

ValiFit is committed to full compliance with the Fair Housing Act (42 U.S.C. 3601-3619). Our scores measure infrastructure investment -- per-pupil school spending, emergency service staffing ratios, environmental safety metrics, healthcare provider density -- not demographics, race, religion, national origin, sex, familial status, or disability.

All users and agents must comply with Fair Housing laws when using our platform. Discriminatory use of ValiFit data, scores, or matching results is a violation of these Terms and applicable law, and will result in immediate termination.

Household data (composition, income, pets) is firewalled from the matching engine and is never shared with agents. See our Privacy Policy Section 11 for full details on our FHA compliance methodology.

9. Intellectual Property

The ValiFit platform, brand name, logo, scoring methodology (including the five-composite investment-to-outcome ratio approach), user interface design, and original content are the intellectual property of ValiFit LLC. Our scoring methodology is the subject of a pending provisional patent application.

You may share individual property reports for personal, non-commercial purposes (e.g., sending a report to your spouse or real estate agent). You may not systematically reproduce, redistribute, or commercially exploit our reports, scores, or platform content.

Underlying government data used in our reports remains in the public domain. Our intellectual property covers the aggregation, scoring methodology, presentation, and matching systems we have built on top of that public data.

10. User Content

You retain ownership of any content you submit to ValiFit (intake preferences, agent profiles, listing descriptions). By submitting content, you grant ValiFit a non-exclusive, royalty-free license to use, display, and process that content as necessary to operate the Service -- including generating reports, running matches, and displaying anonymized preference summaries to agents.

You represent that you have the right to submit any content you provide and that your content does not violate any third party's rights or any applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• VALIFIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES FROM REAL ESTATE DECISIONS MADE BASED ON OUR REPORTS, SCORES, OR MATCHING RESULTS.
• VALIFIT SHALL NOT BE LIABLE FOR THE ACTIONS, OMISSIONS, QUALIFICATIONS, OR CONDUCT OF ANY REAL ESTATE AGENT CONNECTED THROUGH THE PLATFORM.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO VALIFIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ValiFit LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including but not limited to Fair Housing Act violations.

13. Termination

By you: You may cancel your account at any time by contacting us at [email protected]. Paid subscriptions remain active through the end of the current billing period.

By us: We may suspend or terminate your access for violation of these Terms, fraudulent activity, failure to maintain required professional licensing (for agents), or any conduct that we reasonably believe is harmful to the platform, its users, or third parties. We will provide notice when feasible, but reserve the right to act immediately in cases involving safety, fraud, or legal compliance.

Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.

14. Dispute Resolution

If you have a dispute with ValiFit, we encourage you to contact us first at [email protected] so we can attempt to resolve it informally. Most concerns can be resolved quickly through direct communication.

If we cannot resolve the dispute informally, both parties agree to resolve it through binding arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court. You and ValiFit both waive the right to a jury trial and the right to participate in a class action. Small claims court actions are excepted from this arbitration requirement.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. To the extent litigation is permitted under Section 14, any action shall be brought in the state or federal courts located in the State of New Jersey.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ValiFit LLC regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
